Terms & Conditions – Introduction
These Terms and Conditions of Sale are entered into between:

The manager and owner of the website, hereinafter referred to as "SWA";

Any person wishing to access the website and its services, hereinafter referred to as "the Customer".

General Provisions
These General Terms and Conditions of Sale of Cuddlings World (“SWA”) govern the contractual framework arising from business transactions with any natural or legal person, exclusively concerning the products and services marketed under the “SWA” label as presented on the website: https://www.cuddlings.world.
They govern the contractual relationship between the Client (“Client”, “You”) and SWA for all contracts concluded with respect to the products and services concerned, including those of the online store.
By placing an order, the Client expressly accepts these Terms and Conditions of Sale (“T&Cs”) and the Privacy Policy as an integral part of the contract.
These conditions apply exclusively to all deliveries and services provided by SWA, to the exclusion of any other terms and conditions.
The Client’s terms and conditions that conflict with or deviate from these T&Cs shall not be recognized. Any additional agreement or undertaking made by SWA does not require Client approval. SWA expressly reserves the right to amend these T&Cs at any time.
The offer and delivery via the online shop or otherwise are directed exclusively at Clients domiciled or headquartered in Switzerland, Liechtenstein, or the Principality of Monaco. Otherwise, SWA reserves the right to increase its price or add additional charges to the Client’s order.
SWA processes your data with strict confidentiality and in compliance with the provisions of applicable Swiss data protection law (including the Swiss Federal Act on Data Protection – FADP/LPD – and any other applicable provisions).
Your data may only be disclosed to third parties if you have expressly authorized us to do so in our Privacy Policy, or where disclosure is required by law.
Affiliated companies and group entities of SWA are not considered third parties.

SWA also manages an online store on https://www.cuddlings.world offering products and services selected and/or created by SWA (hereinafter “Products / Services”).
Products / Services presented on the website are offered individually or in bundles (see Section 4). SWA may at any time expand or modify its range of Products / Services.
Prices already reflect economies of scale according to the quantities ordered by the Client.
All prices listed on the SWA website are in Swiss francs (CHF), to which applicable value-added tax (VAT) will be added when due.
The applicable prices are those in effect at the time of the order, including any shipping charges separately indicated, where applicable.
SWA reserves the right to change its prices at any time and to add administrative fees.
Any “discounts” displayed in the online shop are rounded and calculated based on the unit purchase price.
Orders and Confirmation
Once the Client has placed a firm and binding order by accepting the T&Cs and Privacy Policy via a click on the “Complete Purchase / Buy / Book / Order” button (or similar wording), or by using an SWA gift voucher, the Client receives an automatically generated order confirmation sent to the email address provided. This confirmation is a copy of the Client’s SWA order form.
Receipt of an order confirmation does not guarantee availability or deliverability of the Products.
All offers and information provided on the SWA website are non-binding.
Each Client order is subject to availability, deliverability, accuracy of the indicated price, possible event cancellation, and receipt of payment. The final binding contract comes into force once the Client receives an electronic shipping confirmation or upon the occurrence of an event, but at the latest upon delivery of the ordered Products and/or on the event date. This also applies to partial deliveries.
If payment is not made within the required timeframe, or if part or all of the ordered Products cannot be delivered, SWA reserves the right to cancel the order in full or in part.
If the Client does not receive the ordered Products within ten (10) days (or within the delivery timeframe indicated on the website or order form) after receipt of the shipping confirmation or delivery date (postmark shall prevail), the Client must notify SWA in writing (email: info@cuddlings.world or postal letter).
Gift Vouchers
The Client may purchase gift vouchers or other Products / Services on the SWA website and offer them to third parties.
Our General Terms and Conditions of Sale and Privacy Policy apply equally to gift voucher purchases. The following specific provisions also apply:

Issuance: SWA gift vouchers, if available, may be used in accordance with these terms for purchases made on the SWA website. The gift voucher will be sent as a PDF or electronic file to the purchaser’s email address once payment has been received. The purchaser may then forward the gift voucher to third parties. In such cases, the purchaser undertakes not to use the voucher code and not to disclose it to any other parties.

Purchase: Clients may purchase vouchers in predefined amounts available on the SWA website. Vouchers may be used personally or gifted to others. Payment for gift vouchers is only possible via credit card, PayPal, or any other online payment method made available by SWA.

Use: A Client account is not required to redeem an SWA gift voucher. Vouchers may be used for a “guest checkout” order. Each voucher may only be redeemed once, at the time of the first order.

Validity: Gift vouchers are valid for twelve (12) months from the date of purchase. The validity period is indicated on the voucher. Vouchers must be fully redeemed before the expiry date. Partial redemptions are permitted, but no compensation or reimbursement will be given for any remaining balance.

Responsibility: The Client must keep the voucher code confidential and only share it with the intended recipient. SWA accepts no liability for loss, theft, misuse, or technical delays in transmission of vouchers.
Delivery and Returns
Stored goods are generally dispatched within 1–2 working days after receipt of the order. If the ordered Products are not in stock, the Client will be informed immediately, and delivery will be made as soon as possible, subject to Client agreement.
All availability and delivery time information is provided for reference only. Depending on the specifics of the order, a reasonable delivery time will be communicated to the Client, which should not exceed 90 business days from order confirmation.
Delivery delays do not entitle the Client to withdraw from the contract or to claim damages.
If Products are not received, they must be reported within 10 days of the delivery date.
Refusal to accept delivery will result in processing fees equal to the amount incurred by SWA, subject to a minimum of CHF 250, plus 30%, in addition to shipping and packaging costs, which will be invoiced immediately.
Delivery is considered fulfilled once the Products are handed over to the delivery provider chosen by SWA (e.g., Swiss Post). At that point, risk and benefit are transferred to the Client.
Partial deliveries must be accepted. If certain Products are no longer available, the sales contract will only be void for those unavailable items.
Undeliverable or returned parcels will be fully invoiced to the Client.
Unless otherwise agreed, shipping costs are included in the price indicated on the SWA website or defined and accepted in the order form. Customs duties or other charges are borne exclusively by the Client. SWA reserves the right to amend shipping costs at any time.
Returns
For hygiene and product safety reasons, SWA only accepts returns if Products are unopened, undamaged, and in their original packaging. Returns are permitted within 10 days after delivery (postmark shall prevail). Return shipping costs are borne exclusively by the Client.
Warranty and Liability
SWA guarantees that the Products shipped have been appropriately stored and are delivered in their original packaging.
The Client must check the Products upon receipt and report any defects immediately. Complaints must be submitted in writing within 5 days for visible defects, or promptly upon discovery for hidden defects.
If not reported in time, the Client acknowledges that delivery was in conformity and that the Products were in perfect condition. Minor deviations typical in trade due to material characteristics are not considered defects.
Defective Products may be returned after prior notification to SWA. Replacement Products or credit notes will be issued as agreed, unless the Client failed to notify defects in due time. Any further warranties, particularly regarding product properties or effects, are excluded to the extent permitted by law. This also applies to product liability.
SWA has no obligation to provide replacements if it proves the defect is not attributable to SWA (e.g., misuse, use for unintended purposes, or later modification by the Client). Claims for damages due to errors in images, pricing, or text are excluded. Product images may differ from delivered Products.
Governing Law and Jurisdiction
If the parties cannot reach an amicable settlement, the dispute shall be submitted to the competent courts in Switzerland.
Article 1 – Purpose
These General Terms and Conditions of Sale (hereinafter “GTC”) define the rights and obligations of SW Agency Sàrl (hereinafter “the Seller”) and any natural or legal person placing an order via the website https://www.cuddlings.world (hereinafter “the Customer”).
Any order implies full and unconditional acceptance of these GTC.

Article 3 – Products
The products offered include, in particular:

Plush toys from the Cuddlings World collection (Bear and Unicorn families, etc.),
-
Accessories (interchangeable bellies, scent diffusers, etc.),
-
Essential oils and aromatherapy-related products (non-medical).
Each product is described as accurately as possible. However, slight variations (color, packaging, size) may occur without engaging the Seller’s liability.
⚠️ Important Notice: Essential oils and diffusers are not medical devices and in no way replace medical treatment. They are not recommended for children under 4 years of age. In case of allergies or medical conditions, a doctor’s advice is required before use.
Article 4 – Orders
Orders are placed online via the website.

An order is considered firm once validated and paid.

The Seller reserves the right to refuse any order for legitimate reasons (fraud, prior dispute, non-payment).
An order confirmation is sent by email.
Article 5 – Prices and Payment
Prices are indicated in CHF (Swiss Francs) and include applicable VAT.

Payment is due immediately upon order confirmation.
Article 6 – Delivery
Deliveries are carried out in Switzerland, Europe, and worldwide through approved carriers.

Indicative delivery times: 3 to 15 business days depending on the destination.

Delivery fees: specified at checkout.

Risk transfer: liability passes to the Customer once the parcel is handed over to the carrier.
In case of delay or loss, the Customer must promptly contact the Seller.
Article 7 – Right of Withdrawal (EU Consumers Only)
In accordance with Directive 2011/83/EU, the Customer has 14 days to exercise the right of withdrawal, without providing justification.
Exceptions:

Unsealed products that cannot be returned for hygiene reasons (opened plush toys, used diffusers, opened essential oils),
-
Customized or made-to-order products.
The Customer must notify their decision by email at info@cuddlings.world and return the product at their own expense in its original packaging.
Article 8 – Warranty and Returns
Products are covered by:

The statutory warranty against defects (art. 197 CO, Swiss law),
-
The statutory conformity warranty (2 years in the EU).
If a defect is identified, the Customer must immediately inform the Seller.
The Seller may offer replacement, repair, or refund.
Article 9 – Liability
The Seller cannot be held liable for:

Improper or non-compliant use of the products,
-
Any indirect damage (loss of income, data, etc.),
-
Delays related to carriers or cases of force majeure.
Article 10 – Data Protection
Customer personal data collected during the order process is processed in accordance with the Swiss Federal Data Protection Act (LPD) and the EU General Data Protection Regulation (GDPR).
They are used exclusively for:

Order processing and delivery,
-
Customer service and communication,
-
Compliance with legal and accounting obligations.
The Customer has the rights of access, rectification, erasure, restriction, objection, and data portability (see Privacy Policy).
Article 11 – Intellectual Property
All trademarks, visuals, texts, and creations related to Cuddlings World are protected by copyright and trademark law.
Any reproduction or use without prior written authorization is strictly prohibited.
Article 12 – Governing Law and Jurisdiction
These GTC are governed by Swiss law.
In case of dispute, the exclusive jurisdiction lies with the courts of the Canton of Geneva, Switzerland, subject to a prior attempt at mediation.
